Terms of Use

Last updated: October 17, 2026 — Effective immediately for all new accounts.

Plain-language summary: Tenzu is a spend-based Meta ad management platform for African SMEs. You pay a monthly subscription fee based on your ad spend, charged in naira (NGN) to your local debit card. Your ad spend is paid directly to Meta — Tenzu never touches or manages your ad budget. All platform features are included across all plans. You get monthly AI credits for image generation, while copy generation, campaign creation, and sales attribution are always free.

1. Agreement to Terms

These Terms of Use ("Agreement") form a binding contract between Tenzu Technologies Limited ("Tenzu", "we", "us", or "our") and any person or entity ("you", "Customer") accessing or using the Tenzu platform available at usetenzu.com ("Platform" or "Services"). By registering an account, clicking "I Accept", or using any part of our Services, you confirm that: (i) you have read and agree to this Agreement; (ii) you are at least 18 years of age; and (iii) if acting on behalf of a company or organization, you have the legal authority to bind that entity. If you do not agree to these terms, you are not authorized to use the Services.

2. Definitions

Ad Account
Any user account registered with Meta (Facebook and Instagram), connected to Tenzu for campaign management.
Ad Spend
The cumulative advertising expenditure across all Meta Ad Accounts connected to your Tenzu account during each billing cycle. Ad Spend is measured in your organization's billing currency and automatically determines your subscription price tier. You are solely responsible for paying your Ad Spend directly to Meta — Tenzu does not hold, process, or guarantee these funds.
AI Credits
A consumable balance used to access Tenzu's AI-powered image generation features. Credits are allocated monthly by plan and may be topped up via in-app purchase. Text and copy generation is free and does not consume credits.
Attribution Link
A Tenzu-generated smart link (usetenzu.com/l/[token]) that wraps your ad destination URL to enable click tracking and WhatsApp attribution. All ad destinations must use Attribution Links — raw WhatsApp or website URLs are never sent directly to Meta.
Conversions API (CAPI)
Meta's server-side event API. When you record a sale via Tenzu's "Sold!" button, Tenzu sends a Purchase event to Meta on your behalf using your connected ad account's CAPI credentials. This improves attribution accuracy in your Meta Ads Manager. You authorize this transmission by connecting your Meta Ad Account.
Buyer
A person who orders or pays for goods or services from a Seller through a Landing Page.
Landing Page
A web page you build and publish with Tenzu (usetenzu.com/p/...), including its cart and checkout.
Online Payments
An optional, approval-based feature that lets Buyers pay on a Landing Page through Paystack, with your share paid out to your bank account by Paystack. See Section 9.
Seller
You, when you offer goods or services to Buyers through a Landing Page. The Seller is the seller of record for every order.
Smart Rules Engine
Tenzu's automated campaign management system that monitors ad performance against thresholds you configure and automatically pauses underperforming ads. You can override or disable Smart Rules at any time.
Overspend Allowance
How far over a spend bracket's ceiling your Ad Spend may go in a billing cycle while you still renew at that bracket's price. It varies by bracket and is listed in Section 4.1; some brackets have none.
Subscription
A recurring monthly access plan (Tenzu Pro, priced by spend bracket) billed via Paystack that grants use of the Platform. Subscriptions with auto-renew on renew each cycle until canceled.
Platform
Tenzu's proprietary software, including all dashboards, AI tools, campaign wizards, attribution systems, and APIs.
Third-Party Services
External platforms integrated with Tenzu, including Meta (Facebook/Instagram), Paystack, OpenAI, and Fal.ai. Tenzu's access to these services is governed by their respective terms.

3. Eligibility & Registration

To use Tenzu, you must be at least 18 years old. By accepting this Agreement, you confirm that your account has not been previously suspended from our Services, and that your use complies with all applicable laws in your jurisdiction and international laws. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. If you suspect unauthorized access, contact us immediately at hello@usetenzu.com.

4. Subscription Plans & Billing

4.1 Subscription Plans

Tenzu offers one subscription plan, Tenzu Pro, billed in Nigerian Naira (₦) via Paystack. Its price depends on your monthly Ad Spend, in 4 brackets. Every bracket includes the whole Platform: Unlimited businesses and ad accounts; Ask Sera and Autopilot; Advanced campaigns (several ad sets); Landing pages with checkout, no Tenzu badge; Scheduled and white-label reports; and campaign creation and launch, attribution links, sales tracking, the performance dashboard, recommendations, Meta Conversions API, audience selection, exports and your full analytics history. Brackets differ only in price, monthly AI credits and overspend allowance.

Monthly Ad SpendMonthly Price (NGN)AI CreditsOverspend Allowance
Up to NGN150,000/mo₦14,900/mo50—
NGN150,001 – NGN500,000/mo₦24,900/mo100—
NGN500,001 – NGN1,500,000/mo₦44,900/mo20010%
Above NGN1,500,000/mo₦74,900/mo350—

4.2 Free Trial

All new users are eligible for a 7-day free trial, activated upon connecting a Meta Ad Account during onboarding. No debit or credit card is required during the trial period. Trial users receive 50 AI Credits and everything in Tenzu Pro, including Ask Sera.

4.3 Your Ad Spend Sets Your Bracket

Your Ad Spend in the current billing cycle, across the Meta Ad Accounts connected to the businesses you own (each Meta Ad Account counted once), sets the lowest bracket you may be on. You may choose any bracket at or above that minimum at any time. Your bracket is evaluated daily against your current billing cycle. If your Ad Spend exceeds your bracket's ceiling plus its overspend allowance, you move to the bracket your spend requires at your next billing renewal — never in the middle of a cycle. You will receive an in-app and email notice whenever a move is scheduled. If your bracket was set by your Ad Spend and your spend in a cycle falls more than 20% below the ceiling of a lower bracket, you renew at that lower bracket automatically, and we tell you in advance. A bracket you chose above your minimum is never lowered without your request. You may not move to a bracket below the minimum your Ad Spend requires.

4.4 Changing Plans

Upgrades take effect immediately. You pay the price difference for the rest of your current billing cycle, your renewal date does not change, and your monthly AI credits increase by the same proportion. Moving to a lower bracket takes effect at your next renewal, provided your Ad Spend still allows that bracket then. Nothing else about your account changes, and Tenzu never deletes your data when your bracket changes.

4.5 Payment & Billing Terms

By initiating a subscription, you authorize Tenzu to charge the applicable monthly fee to your payment method via Paystack. Fees are charged in Nigerian Naira (₦). You may pay with a debit or credit card issued in any country we support; if your card is in another currency, your bank converts the amount at its own exchange rate and may charge its own fees. Refunds will not be issued for forgetting to cancel a subscription, not using the Platform, or partial use of a billing period. Tenzu does not currently offer annual subscription options. Failed payments may result in a grace period of up to 3 days. After that, until you renew, your access to the Platform is limited to your account settings, billing and your orders. You will be notified by email for any payment failure. What happens to your Landing Pages and the campaigns that point to them when a subscription ends is set out in Section 9.9.

4.6 Pricing Modifications

Tenzu reserves the right to modify subscription pricing, tier thresholds, and plan features. You will receive at least 30 days' written notice before any material price increase for voluntary plan changes, and at least 7 days' notice for automatic spend-based adjustments. Continued use after notice constitutes acceptance of the new pricing.

4.7 Direct Ad Spend Payments to Meta

Tenzu does not collect, hold, or manage advertising budget funds. All advertising spend is charged directly by Meta (Facebook and Instagram) to the payment method attached to your Meta Ad Account. Your Tenzu subscription fee covers software access, AI tools, attribution tracking, and optimization automation only.

5. AI Credits

Credits are allocated at the start of each billing cycle. Unused monthly credits do not roll over. Ad copy generation is never blocked.

AI Credits are consumed when you use Tenzu's AI-powered image generation features. The credit cost per action is:

6. Meta API & Ad Account Access

To use Tenzu, you must connect one or more Meta Ad Accounts and grant Tenzu access via the Meta Marketing API. By connecting your account, you authorize Tenzu to: • Read campaign, ad set, ad, and performance data from your Meta Ad Accounts • Create, edit, pause, and manage campaigns on your behalf • Submit creatives and targeting configurations to Meta's API • Monitor spend metrics for plan tier assignment Tenzu stores your Meta access tokens in an encrypted format (AES-256-CBC). Decryption only occurs server-side during API calls. Tenzu is not responsible for any ad policy violations, account restrictions, or ad spend charges imposed by Meta as a result of campaigns created through the Platform. Conversions API (CAPI): When you record a sale using the "Sold!" button in a campaign, Tenzu will transmit a Purchase conversion event to Meta's Conversions API on your behalf. This event includes the sale value and a hashed click identifier (fbclid) to improve attribution matching. By using the "Sold!" feature, you authorize this transmission. Tenzu will never transmit CAPI events without your explicit action. If your ad account does not have CAPI credentials configured, the sale is recorded locally but no event is sent to Meta. Smart Rules & Automated Actions: Tenzu's Smart Rules Engine may automatically pause ads in your Meta Ad Account based on performance thresholds you define. All automated actions are logged and visible in your dashboard. You may disable Smart Rules at any time. Tenzu is not responsible for any spend, performance loss, or missed opportunities resulting from automated pauses — you remain in control and can override any action at any time. Lead Form Campaigns: For campaigns using Meta's Lead Generation objective, Tenzu reads lead form submission data from your Meta Ad Account via the Meta Marketing API. This data (which may include names, email addresses, phone numbers, and any custom fields in your lead form) is stored in Tenzu's database and displayed to you in your campaign dashboard. You are the data controller for your customers' lead data. You are responsible for obtaining appropriate consent from leads and complying with applicable data protection laws. Campaigns When Your Subscription Ends: If your subscription ends and is not renewed within 7 days, your Landing Pages go offline (Section 9.9). You authorize Tenzu to then pause, once, the campaigns in your Meta Ad Account that send traffic to those Landing Pages, so you don't keep paying for clicks to a page that isn't available. We will tell you which campaigns we paused. Tenzu will not resume them; you can resume them at any time. If we can't pause a campaign (for example, because your Meta connection has expired), we will tell you and you remain responsible for pausing it. Campaigns that don't send traffic to a Landing Page are not paused. They will continue to run and accrue spend in your Meta Ad Account until you pause or stop them. We strongly recommend pausing active campaigns before canceling your subscription. Tenzu is not responsible for ad spend incurred before or after any pause.

7. Attribution Links & Smart Links

All ad campaigns launched via Tenzu must use a Tenzu Attribution Link (usetenzu.com/l/[token]) as the ad destination. These smart links track WhatsApp clicks, website visits, and sales attribution for the ROI dashboard. Attribution Links also enable WhatsApp click-through tracking, connecting conversations and sales recorded via the "Sold!" button to specific campaigns via the Conversions API. You agree not to modify, bypass, or circumvent Attribution Links. Tenzu retains click and attribution data for the life of your account, regardless of plan. Upon account deletion, attribution data is permanently removed within 30 days.

8. Acceptable Use

You agree not to use Tenzu to create, promote, or distribute: • Content that violates Meta's Advertising Policies or Community Standards • Misleading, fraudulent, or deceptive advertising • Content targeting minors with inappropriate products or services • Prohibited product categories including tobacco, certain financial services (without required disclosures), or illegal goods All ad copy submitted for launch is automatically scanned by Tenzu's Policy Guard. Content flagged as HIGH risk will be blocked from submission to Meta. MEDIUM risk content will receive a warning. You are ultimately responsible for ensuring your ads comply with all applicable advertising regulations.

9. Selling Through Tenzu Pages

Draft: this section is pending review by a Nigerian lawyer and is not yet in force.

9.1 You Are the Seller

When you sell through a Landing Page, the sale is between you and the Buyer. You are the seller of record. Tenzu provides the software you use to build the page, take orders and track sales; Tenzu does not buy, sell, stock, deliver or own any goods or services offered on your pages. You are solely responsible for: • the goods and services you offer, including their quality, safety, legality and description • your prices, taxes and any fees you charge • delivery, returns, exchanges, refunds and after-sales support, including publishing truthful delivery, return and refund terms on your pages • responding to Buyers' questions and complaints • complying with consumer protection, tax and trade laws that apply to your sales Tenzu does not issue refunds to Buyers. Refunds are arranged between you and the Buyer. Every checkout shows Buyers that the order is sold by you and that you are responsible for it.

9.2 Online Payments

Online Payments are optional and available only to Sellers we approve. They are currently offered only to Sellers based in Nigeria; elsewhere, your pages use the checkout methods you configure yourself (such as WhatsApp ordering, pay on delivery, bank transfer or your own payment link), and the money goes directly from the Buyer to you. If you are approved for Online Payments: • Buyers pay through Paystack, a licensed payment processor. Paystack's own terms also apply to these payments. • Paystack pays your share of each payment to the bank account you nominate, on Paystack's standard settlement schedule. Tenzu does not hold your sales money and never decides when you get paid. • Tenzu may deduct a platform fee from each payment. Any fee is shown to you before you turn on Online Payments, and we will give you at least 30 days' notice before increasing it. • Paystack's processing fees apply as shown when you enable the feature.

9.3 Identity Checks and Limits

To apply for and keep Online Payments, you consent to Tenzu, Paystack and identity-verification providers acting on our behalf checking your identity and business. This may include confirming that your bank account name matches you or your registered business, and verifying your national identity number, bank verification number or equivalent in your country. You must keep your identity, business and payout details accurate and up to date, and tell us promptly if they change. New Sellers may have limits on the value of each order and on daily totals. We may raise or lower these limits based on your sales history, delivery record and reports from Buyers.

9.4 Refunds and Chargebacks

You are responsible for refunds, reversals and chargebacks on orders paid to you, and for any processor fees and penalties charged on them, unless they were caused by Tenzu's own error. Disputes and chargebacks: when a Buyer disputes a payment with their bank, the payment processor may give us only a few hours to respond (in Nigeria, currently 16 business hours). If we ask, you must send us the order details, invoice, proof of delivery and your messages with the Buyer as quickly as possible, and in any case within the time we state. If you don't, the dispute may be lost and you remain responsible for it. Where a refund, chargeback, fee or penalty arising from your orders or your breach of these Terms is charged to Tenzu or to Tenzu's payment account, you must reimburse Tenzu for it and for our reasonable costs of recovering it. You authorize Tenzu to recover these amounts by: • deducting them from your future payouts, where our payment processor supports this; • charging a payment method you have saved with Tenzu; or • sending you an invoice, which you must pay within 14 days.

9.5 Prohibited Items

You may not sell through a Landing Page anything that Paystack does not support, or anything that is illegal where you or the Buyer are located. This includes, among others: • narcotics, illegal drugs, steroids, controlled substances and drug paraphernalia • weapons, firearms, ammunition, explosives and fireworks • counterfeit goods, stolen property and goods that infringe intellectual property • identity documents and government records • adult content and sexually oriented materials or services • gambling, betting, lotteries and sweepstakes without the required licence • cryptocurrency, foreign exchange and other unlicensed financial services, securities, pyramid or "get rich quick" schemes • escrow services • hazardous chemicals, recalled items, and blood, bodily fluids or body parts • goods on your country's customs prohibition list • anything fraudulent, deceptive or promoting hate or violence Paystack's current list of ineligible businesses, including country-specific restrictions, forms part of this Section. We may also review some categories more strictly, or decline them for Online Payments, including phones and electronics, high-value goods and pre-orders.

9.6 Suspension of Online Payments or Checkout

We may pause or turn off Online Payments, or checkout on your pages, at any time and without prior notice if: you receive a chargeback; Buyer reports about your orders remain unresolved; we suspect fraud, prohibited items or a breach of this Agreement; you fail or decline an identity check; or Paystack or the law requires it. Where we can, we will tell you why and how to have it reviewed. Payouts already due to you are handled under Paystack's terms and any applicable law.

9.7 Buyer Reports and Disputes

Buyers can contact you directly from your checkout and can report a problem with an order to Tenzu. When we pass a report to you, you must respond to the Buyer within 3 business days and make reasonable efforts to resolve it. If a report is not resolved, we may review it and ask both sides for information, and we aim to finish that review within 10 business days. Tenzu is not a party to the sale and is not obliged to decide disputes, but we may act under Section 9.6 based on what we find.

9.8 Records and Lawful Disclosure

We keep records of your verification, orders and Buyer reports. We may share them with our payment processors, with a Buyer's bank or card issuer when responding to a dispute, and with regulators or law enforcement where the law requires or allows it, for example when investigating suspected fraud.

9.9 Landing Pages When Your Subscription Ends

Your published Landing Pages stay online for 7 days after your subscription ends, whether it was canceled, not renewed, or a payment failed and its grace period passed. We will remind you before they go offline. After those 7 days, until you renew: Buyers who visit your Landing Pages see a notice that the page is temporarily unavailable, with your WhatsApp number or phone number if you have added them; your pages stop taking new orders; and campaigns that send traffic to them are paused as described in Section 6. Buyers can still view orders they placed before then, and you can still see and manage those orders in your dashboard. You remain responsible for every order placed before your pages went offline, including delivery, refunds and Buyer complaints under this Section 9. Tenzu is not liable for sales lost while your pages are offline. When you renew, your Landing Pages come back online straight away. Paused campaigns stay paused until you resume them. Your Landing Pages are kept while your account is open; they are deleted only if your account is terminated, as described in Section 14.

9.10 Indemnity

You agree to indemnify and hold harmless Tenzu, its directors, employees and partners from any claims, losses, liabilities, penalties and reasonable costs (including legal fees) arising from: the goods or services you sell; your dealings with Buyers, including delivery, refunds and disputes; refunds and chargebacks on your orders; your breach of this Section or any applicable law; or any information you give us that is false or misleading.

10. Data & Privacy

Tenzu collects: • Account data (name, email, connected Meta accounts) • WhatsApp business phone number (collected as part of your organization profile; used to generate attribution links and send performance notifications) • Campaign data (ads, budgets, performance metrics) • Lead form submission data (names, emails, phone numbers, and custom fields submitted by your customers through Meta Lead Generation campaigns — you are the data controller for this data) • Conversion events (sale amounts and click identifiers recorded via the "Sold!" button, transmitted to Meta's Conversions API on your behalf) • Payment records (processed by Paystack — we do not store full card details) • Platform usage data Your data is used solely to provide and improve the Services. Tenzu will not sell your personal data to third parties. We may transfer data to sub-processors (Supabase — database hosting, Vercel — application hosting, OpenAI — AI copy generation, Fal.ai — AI image generation, Paystack — payment processing) strictly for service delivery. Lead Generation Data: When you run Lead Generation campaigns, Tenzu retrieves your customers' lead form responses from Meta on your behalf. You are the data controller for this data and Tenzu acts as a data processor. You are responsible for complying with applicable privacy laws — including the Nigeria Data Protection Regulation (NDPR) and equivalent legislation in Ghana, Kenya, South Africa, and other African jurisdictions where Tenzu operates — regarding how you collect, use, and store your customers' information. In the event of a security breach affecting your data, Tenzu will notify you within 72 hours of becoming aware of the incident, unless prohibited by law. For a full description of how we handle your data, see our Privacy Policy at usetenzu.com/privacy.

11. Lead Generation Campaigns

When you create a campaign using Meta's Lead Generation objective, Tenzu: • Creates a lead form on your connected Meta Page on your behalf • Retrieves lead submissions from your Meta Ad Account via the Marketing API • Stores and displays those leads in your Tenzu campaign dashboard You acknowledge that: • Lead submissions contain personal data provided by your customers. You are the data controller for this information. • You must have a valid Privacy Policy URL linked within your Meta lead form. • You are responsible for following up with leads in compliance with applicable marketing and data protection laws in your jurisdiction. • Tenzu retains lead data for the duration your account is active. Upon account deletion, lead data is permanently deleted within 30 days. Tenzu does not sell, share, or use your customers' lead data for any purpose other than displaying it to you and your authorized team members.

12. Intellectual Property

All Platform content — including software, AI models, creative templates, and design — is the property of Tenzu Technologies Limited and protected under applicable copyright law. Content you create using Tenzu (ad copy, generated images) belongs to you. By using the Platform, you grant Tenzu a limited, non-exclusive license to process and display your content solely to provide the Services. You may not reverse-engineer, scrape, or create derivative works from the Tenzu Platform without express written consent.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENZU'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM. TENZU IS NOT LIABLE FOR: (i) INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES; (ii) LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITY; (iii) AD SPEND CHARGES INCURRED ON META; (iv) POLICY VIOLATIONS IMPOSED BY META ON YOUR AD ACCOUNTS; (v) AUTOMATED PAUSES OR ACTIONS TAKEN BY THE SMART RULES ENGINE; (vi) ANY SALE, DELIVERY, REFUND OR DISPUTE BETWEEN YOU AND A BUYER (SEE SECTION 9). Tenzu is not responsible for service interruptions caused by Meta API outages, Paystack downtime, or other third-party service failures.

14. Termination & Cancellation

You may cancel your subscription at any time through your account settings or by contacting hello@usetenzu.com. Cancellation takes effect at the end of your current billing period, and you keep full access until then. After that, until you renew, your access is limited as described in Section 4.5, and your Landing Pages follow Section 9.9. An ended subscription does not close your account. Tenzu may suspend or terminate your account immediately for material breach of this Agreement, including violation of acceptable use policies or non-payment. Tenzu may also suspend Online Payments or checkout on your Landing Pages as described in Section 9.6, without suspending the rest of your account. Upon termination of your account (by you closing it, or by Tenzu under this Section): your data, including your Landing Pages, will be retained for 30 days during which you may request an export, after which it will be permanently deleted. Records we must keep by law, including order and payment records under Section 9.8, are kept for as long as the law requires.

15. Modifications to Terms

Tenzu reserves the right to update these Terms at any time. Material changes will be communicated via email and/or an in-app notice at least 14 days before they take effect. Continued use of the Platform after changes constitutes your acceptance of the updated Terms.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Nothing in these Terms limits any statutory rights you may have under the laws of your country of residence that cannot be excluded or modified by contract. Any disputes arising from or related to this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless mandatory consumer protection laws in your jurisdiction require otherwise.
